If you interact with any employee of JPMS LLC with respect to any Covered Transaction, as defined below, you are hereby notified that such employee will act solely as an authorized representative of JPMCB in connection with such Covered Transaction, and not as a representative of JPMS LLC in connection with such Covered Transaction. In connection with cash transactions in equity securities or listed equity options, such employee will continue to act as a representative of JPMS LLC.

By executing a Covered Transaction, you will be deemed to have agreed with JPMS LLC and JPMCB that, with respect to any documentation applicable to a Covered Transaction (including, for the avoidance of doubt, any trade confirmation or master confirmation agreements relating to Covered Transactions), any “role of agent” provisions or similar provisions or notations related to JPMS representing, acting on behalf of, or signing on behalf of JPMCB in connection with such Covered Transaction, if contained in such trade documentation, shall be deemed to be deleted, and JPMCB will be deemed to act directly for its own account thereunder.

“Covered Transaction” means any over-the-counter equity derivative transactions entered into by you and JPMCB as principal that constitutes a “security” under applicable U.S. securities regulations, other than (i) any such product that constitutes a “security-based swap” or “mixed swap” (as defined in the Dodd-Frank Wall Street Reform and Consumer Protection Act and the rules and regulations promulgated thereunder) or (ii) any listed equity options or cash transactions related to equity securities.”
